1. Introduction and Acceptance

Welcome to MatchStack.io ("Platform"), operated by InternPro, Inc. ("Company," "we," "us," or "our"). MatchStack is a division of InternPro, Inc. that provides engineering talent matching services to businesses ("Clients" or "you").

By accessing or using MatchStack.io, you agree to be bound by these Terms of Use ("Agreement"). If you do not agree to these terms, do not use our Platform.

2. Platform Description

MatchStack is a talent matching platform that connects businesses with pre-vetted engineering professionals for project-based and ongoing development work. Our services include:

• Matching clients with qualified engineering talent
• Facilitating communication between clients and engineers
• Providing project management and support tools
• Processing payments and managing billing

3. Eligibility and Account Registration

To use MatchStack, you must:

• Be at least 18 years of age
• Have the legal authority to enter into binding contracts
• Provide accurate and complete registration information
• Maintain the security of your account credentials

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breaches.

4. Service Terms and Pricing

MatchStack provides engineering talent at competitive rates as displayed on our Platform. Current pricing and service tiers are available at matchstack.io. We reserve the right to modify pricing with 30 days notice to existing clients.

Services begin upon successful matching with an engineer and confirmation of your subscription. The engagement timeline, deliverables, and working arrangements will be agreed upon between you and your assigned engineer(s).

5. Payment Terms

5.1 Billing: Subscription fees are billed monthly in advance. Payment is due upon invoice.

5.2 Non-Refund Policy: All payments made to MatchStack are final and non-refundable, except as required by law or at our sole discretion. You may cancel your subscription at any time, effective at the end of your current billing period.

5.3 Disputed Charges: Before initiating any chargeback or payment dispute, you must first contact MatchStack at support@matchstack.io to attempt resolution. Unauthorized chargebacks may result in account suspension and collection of administrative fees.

6. Client Responsibilities

As a MatchStack client, you agree to:

• Provide clear project requirements and timely feedback
• Treat all engineers with professionalism and respect
• Comply with all applicable employment and labor laws
• Not solicit or hire MatchStack engineers outside the Platform without prior written consent
• Maintain confidentiality of proprietary information shared during engagements

7. Prohibited Activities

You may not use MatchStack to:

• Engage in harassment, discrimination, or abusive behavior
• Misrepresent your identity or company
• Circumvent platform fees or payment systems
• Scrape, copy, or reverse engineer any part of the Platform
• Use the Platform for any unlawful purpose
• Share account credentials with unauthorized parties
• Interfere with the Platform's operation or security

8. Intellectual Property

8.1 Platform IP: All content, features, and functionality of MatchStack.io, including but not limited to text, graphics, logos, and software, are owned by InternPro, Inc. and protected by intellectual property laws.

8.2 Work Product: Unless otherwise agreed in writing, work product created by engineers during your engagement shall be owned by you upon full payment of all applicable fees.

8.3 License: We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the use of MatchStack. This includes but is not limited to business strategies, technical specifications, and financial information. Confidentiality obligations survive termination of this Agreement.

10. Non-Solicitation

During your engagement with MatchStack and for a period of twelve (12) months thereafter, you agree not to directly solicit, recruit, or hire any engineer introduced to you through the Platform without MatchStack's prior written consent. Violation of this provision shall result in a placement fee equal to six (6) months of the engineer's billing rate.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MATCHSTACK AND INTERNPRO, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from your use of the Platform shall not exceed the fees paid by you in the six (6) months preceding the claim.

12. Disclaimer of Warranties

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

While we strive to match you with qualified engineers, we do not guarantee specific outcomes, project completion, or satisfaction with any particular engineer's work.

13. Indemnification

You agree to indemnify, defend, and hold harmless MatchStack, InternPro, Inc., and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any content or information you provide through the Platform

14. Termination

14.1 By You: You may cancel your subscription at any time by contacting us at support@matchstack.io. Cancellation takes effect at the end of your current billing period.

14.2 By Us: We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. This includes the right to refuse service to any person or entity.

14.3 Effect of Termination: Upon termination, your right to use the Platform ceases immediately. Sections relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.

15. Dispute Resolution

15.1 Informal Resolution: Before initiating formal proceedings, you agree to contact us at legal@matchstack.io to attempt good-faith resolution of any dispute.

15.2 Arbitration: Any dispute not resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the State of Delaware.

15.3 Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

15.4 Time Limitation: Any claim must be brought within six (6) months of the event giving rise to the claim, or it shall be forever barred.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

17. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

18. Miscellaneous

18.1 Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between you and MatchStack.

18.2 Severability: If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.

18.4 Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
